These Terms of Service ("Terms") govern your access to and use of the websites, products, and services ("Services") provided by Giv AI Labs Ltd, a company registered in England and Wales, trading as "Mantiq Labs" ("we", "us", or "our").

Mantiq Labs operates three primary service lines:

  • Mantiq Learn: Free educational tools and resources for educators, learners, and training providers
  • Mantiq Launch: Business-focused products and services for entrepreneurs and founders
  • Mantiq Systems: Bespoke AI systems and consultancy for organisations

Specific terms may apply to individual services and will be communicated to you when you access or subscribe to those services.

3. Account Registration

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the design and arrangement thereof, are owned by Giv AI Labs Ltd or our licensors and are protected by UK and international copyright, trademark, patent, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you submit, post, or display through our Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display Your Content solely for the purpose of providing our Services to you.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation to you.

6. Payment Terms

For paid Services (such as Mantiq Launch and Mantiq Systems):

  • Fees are stated in GBP unless otherwise specified
  • All fees are exclusive of VAT, which will be added where applicable
  • Payment is due in accordance with the payment terms specified at the time of purchase
  • We reserve the right to change our fees with reasonable notice
  • Refunds are provided in accordance with our refund policy and applicable consumer rights

7. Free Services (Mantiq Learn)

Mantiq Learn services are provided free of charge. We are committed to keeping educational tools free for teachers and learners. However:

  • Free services are provided "as is" without warranty
  • We may modify, suspend, or discontinue free services at any time
  • We may introduce usage limits or require registration for certain features
  • Free services may display information about our paid services

8. Disclaimer of Warranties

To the maximum extent permitted by law, our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • Our Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using our Services will be accurate or reliable
  • Any errors in our Services will be corrected

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill
  • Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the greater of: (a) the amount you paid us in the 12 months before the claim arose, or (b) £100

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by English law.

You agree to indemnify, defend, and hold harmless Giv AI Labs Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

11. Termination

We may suspend or terminate your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use our Services will immediately cease
  • We may delete your account and any associated data
  • Provisions of these Terms that by their nature should survive will continue to apply

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after any changes constitutes acceptance of the new Terms.

13. Governing Law and Jurisdiction
